Terms of Service

The agreement between you and OptimusX Group (Pty) Ltd for your use of Overcome.

Agreement to these terms

These terms of service ("Terms") are a binding agreement between you and OptimusX Group (Pty) Ltd, a company registered in the Republic of South Africa under registration number 2026/657042/07 ("OptimusX", "we", "us", "our"). They govern your use of the Overcome mobile and web applications and everything in them (the "Service").

By creating an account, or by using the Service, you confirm that you have read and accept these Terms and our Privacy Policy, which is incorporated into them by reference. If you do not accept them, do not use the Service.

Please read section 2 carefully. It sets out what Overcome is not, and it matters more than anything else in this document.

Medical disclaimer — please read

Overcome is a recovery-support and journalling tool. It is not a medical service. It does not provide medical advice, diagnosis, treatment or prevention of any condition, and it is not a substitute for professional care from a doctor, therapist, psychiatrist, counsellor or any other qualified health professional. Never disregard professional advice, or delay seeking it, because of something you read or record in this app.

  • Not a clinician: nothing in the Service — the coping techniques, the workbook prompts, the lessons, the recovery score, the weekly reflections, or any text produced by the AI companion — is a clinical assessment, a diagnosis or a treatment plan. The recovery score is a self-tracking number calculated from what you typed in. It is not a measure of your health.
  • Not a diagnosis: the Service cannot tell you whether you have a substance use disorder, a mental health condition, or anything else. Choosing a focus area, or answering the starting questions, records what you want to work on. It does not mean the app has assessed you or concluded anything about you.
  • Not a crisis service: Overcome does not monitor your entries in real time, and nobody is watching for a message that says you are in danger. It cannot summon help.
  • Not supervised care: recording information here does not create a doctor-patient, therapist-client or any other professional healthcare relationship between you and OptimusX.
  • AI output is informational: the companion writes supportive, reflective language from the data you gave it. It can be wrong. It is a prompt for your own thinking, never a finding about you and never advice to act on in place of a professional.

In an emergency

If you are in immediate danger, thinking about harming yourself, or experiencing a medical emergency such as severe withdrawal, stop using the app and get help now. Call your local emergency number, go to your nearest emergency department, or contact a crisis helpline in your country. You can also reach the trusted contact you saved in the app.

Withdrawal from alcohol and from some other substances can be medically dangerous. Talk to a health professional before you stop or change anything about your use, and before you rely on this app as part of how you do it. Any decision you make about your health remains yours, taken on professional advice and not on ours.

Who may use Overcome

You must be 18 or older to use Overcome. There is no version of the Service for minors.

By using the Service you represent that:

  • you are at least 18 years old;
  • you have the legal capacity to enter into a binding agreement;
  • you are not barred from using the Service under the laws of the country you are in, and you are not subject to sanctions that would prohibit us from providing it to you;
  • you have not previously had an account terminated by us for breach of these Terms; and
  • the information you give us when you register is true and you will keep it up to date.

If you are using the Service in the course of employment or on behalf of an organisation, you confirm you have authority to accept these Terms for that organisation.

What Overcome provides

Overcome is a self-directed recovery support tool. Depending on your plan and what you choose to switch on, it gives you:

  • Counters that track the time since your start date for each focus area you set up;
  • A daily check-in for mood, anxiety, stress, cravings, sleep, energy and confidence, and a daily pledge;
  • An urge tool for working through a craving in the moment, and a record of the urges you log;
  • A coping toolkit, a guided workbook, free writing, lessons and motivational content;
  • A private journal, milestones, a recovery score and progress trends calculated from what you record;
  • Written summaries, weekly reflections and an AI companion, produced with the help of a third-party AI provider as described in our Privacy Policy;
  • An optional connection to a coach, including tasks they assign and sessions they log; and
  • An optional community where you post under an alias.

Two kinds of account

  • Client accounts are for people using Overcome for their own recovery. They get the recovery experience described above.
  • Coach accounts are for people supporting others. They get a client roster, briefings, notes, assignments and session logs instead of a recovery journey of their own, and they are billed differently — see section 6.

We may add, change, suspend or remove features at any time. We will not remove a material feature you are paying for without telling you first and, where the change substantially reduces what you bought, giving you the choice to cancel and receive a pro-rata refund of the unused portion of your term. The Service is provided on an "as available" basis and may be interrupted for maintenance, upgrades or reasons outside our control.

Your account

  • Registration: you need an account to use the Service. Give us accurate details and keep them current.
  • Security: you are responsible for your password and for everything done through your account. Choose a password you do not use elsewhere, and turn on the in-app lock if other people can reach your device. Tell us at overcome@optimusx.co.za as soon as you suspect unauthorised access.
  • One account per person: do not create multiple accounts for yourself, and do not share your account with anyone else or let anyone else use it.
  • Your alias: your community alias and avatar exist so you can take part without using your real name. Do not choose an alias that impersonates a real person or organisation, or that is offensive.
  • Taking your data: you can ask us at any time for a copy of everything you have recorded, and we send it as a JSON file within 30 days at no charge. What is included, and the two things that are not, are set out in the Privacy Policy.
  • Closing your account: you may delete your account at any time from Settings → Delete account, confirming with your password. If you signed in with Google or Apple you have no password with us, so write to overcome@optimusx.co.za from your account address and we will delete it for you. Deletion is permanent — ask us for a copy of anything you want to keep first. Deleting the app from your device does not delete your account, and it does not cancel a subscription.

Subscriptions, billing and refunds

Overcome is currently free to everyone while we complete our payment provider’s business verification. Nothing in the app can reach a card, and no charge of any kind can be made. When that changes we will tell you in the app and by email before anything is billed, and you will have the choice to continue on the free tier or not at all.

The rest of this section describes how billing works once it is switched on. Current prices are always shown in the app before you buy anything; they are deliberately not written into this document, because a price list inside a contract goes out of date and then contradicts what the app says.

Who takes the money

Payments are processed by Paystack, on Paystack’s own hosted page. Your card details are entered there and never pass through Overcome; we hold only a token that lets us charge the same card again. Purchases are made from OptimusX, not from Apple or Google, and are not managed in your app store account.

If you are a client paying for yourself

  • Free and paid tiers: the free tier keeps the core of the app — a counter, the daily check-in and recovery score, the urge tool, starter techniques, the community and the crisis resources. The paid tier ("Plus") adds the rest. What each includes is shown in the app.
  • Monthly or annual: Plus is available monthly or annually. The annual price is shown alongside what it works out to per month.
  • Free trial: where a free trial is offered, its length and terms are shown before you start it, and it takes a card up front. One per person. Unless you cancel before it ends, it converts into a paid subscription and your card is charged. To prove the card, a small verification amount may be charged and is refunded immediately.
  • Automatic renewal: subscriptions renew automatically at the end of each period at the then-current price until you cancel.
  • Cancelling: cancel from Settings at any time. You keep Plus until the end of the period you have already paid for, and you are not charged again. Cancelling does not delete your account or your data.

If you are a coach

A coach’s bill is not a fixed plan. It is a monthly tier fee determined by how many clients are on your roster, plus a per-client rate for each of them. The per-client rate is the same for every client on your roster and steps down as the roster grows into a larger band. Both amounts for your current band are shown in the app before your first invoice and on every invoice afterwards.

  • Bands: the published bands run from a single client up to a roster of forty. Above forty there is no published price and your account moves to enterprise pricing, agreed with us directly. Until an enterprise rate is agreed we bill the top published band’s formula as an interim amount, and it is not a quoted price.
  • How it is charged: because the amount changes with your roster, it is calculated monthly and charged to the card you have on file, rather than being a fixed subscription.
  • A roster that changes: your band is worked out from your roster at the time the invoice is cut. Taking on a client, or a client leaving, moves it.
  • No card, no roster: managing clients is what a coach is paying for, so a coach account without a card on file can reach signup and billing and nothing else.

Who pays for a client — the coach decides

Every client connected to a coach carries a per-client rate. What the coach chooses is whose card that rate lands on. Sponsoring carries no premium; the amount is identical either way.

  • Sponsored: the client’s line goes on the coach’s monthly invoice and the client gets the paid tier at no cost to themselves.
  • Self-paying: the client is charged their own line, to their own card, at the same rate.
  • The default: where nobody has chosen, the client pays for themselves. That includes the case where a client invites their own coach rather than being invited by one. Nobody is left with full access that nobody is paying for.
  • The client does not choose: this is the coach’s decision, and a coach can move a client from self-paying to sponsored at any time. If you are a client and you would rather your coach sponsored you, that is a conversation with your coach, not a setting in the app.
  • Notice of a rate change: a self-paying client’s rate can move because their coach’s roster crossed a band — something the client did not do and cannot control. When that happens we notify the client, and the new rate applies from the following invoice, never the one being issued.

Failed payments

  • If a charge fails, we will retry and tell you. Access continues through a short grace period measured from the first failure.
  • If it is still unpaid after the grace period, paid features stop and the account returns to the free tier. Your data is not deleted, and it comes back when payment succeeds.
  • If a coach’s payment fails, their clients keep access through the same grace period before dropping to free. A client is never cut off the moment their coach’s card fails.

Refunds

  • Contact us at overcome@optimusx.co.za. Except where the law gives you a right to a refund, payments are not refundable and partial periods are not refunded.
  • Statutory rights: nothing here limits any non-waivable right you have under the consumer law that applies to you, including the cooling-off and cancellation rights of the South African Consumer Protection Act 68 of 2008 and the withdrawal rights available to consumers in the EU and the UK.
  • Price changes: we will give you at least 30 days’ notice of a price increase, and where the law requires it the increase will not take effect until you agree to it. If you do not agree, cancel before the next renewal.

Beta and founding users

  • While Overcome is in beta, features may change, break or be withdrawn at shorter notice than section 4 otherwise provides, and we may contact you for feedback. You can opt out of feedback requests at any time.
  • A complimentary or founding-user licence granted during this period has a stated end date, applies to the account it was granted to, and lapses on its own. It is not a permanent entitlement and it is not transferable.
  • When a complimentary period ends, the account returns to the free tier. It is never converted into a paid subscription without you choosing one.

Acceptable use

You agree that you will not:

  • use the Service for anything unlawful, or to plan, encourage or facilitate anything unlawful;
  • post or send content that is harassing, hateful, threatening, defamatory, sexually explicit, or that targets anyone on the basis of race, ethnicity, religion, sex, gender, sexual orientation, disability or any other protected characteristic;
  • encourage self-harm, suicide, disordered eating or substance use, or share methods, sourcing or dosing information for any of them;
  • give medical, clinical or legal advice to other users, or present yourself as a professional you are not;
  • sell, advertise or promote anything to other users, or use the community for recruitment, referral schemes or spam;
  • impersonate anyone, or misrepresent your connection to any person or organisation;
  • post another person's private information, or share, screenshot or repeat outside the app anything another member has shared inside it;
  • try to identify a member behind their alias, or contact them off-platform without their agreement;
  • attempt to access any account, data or part of the system that is not yours, or probe, scan or test the security of the Service;
  • interfere with the Service, overload it, or introduce any malware, or use bots, scrapers or automated means to access or extract data from it;
  • reverse engineer, decompile or attempt to derive the source code of the Service, except to the extent the law expressly permits despite this restriction;
  • copy, resell, sublicense or make the Service available to anyone else as a commercial offering; or
  • remove, obscure or alter any proprietary notice in the Service.

Report anything that breaches this section using the in-app report tool on the post or comment, or write to overcome@optimusx.co.za.

Your content

"Your Content" means everything you put into the Service — journal and workbook entries, free writing, check-ins, urge logs, goals, community posts and comments, your alias and avatar choice, what you say to the AI companion, and anything you send to a coach or to us.

  • You keep ownership: Your Content is yours. These Terms do not transfer any ownership of it to us.
  • The licence you give us: you grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, display and process Your Content strictly so that we can operate and provide the Service to you — for example to save an entry, sync it to your other devices, calculate your score, or send text to our AI provider to produce a summary or reflection. This licence exists only for that purpose, and it ends when you delete the content or your account, except for copies retained in backups on the timetable in our Privacy Policy.
  • Content goes to our AI provider: saving a journal entry, or messaging the companion, sends that text to a third-party AI provider. The Privacy Policy names the provider and says exactly what is sent and when. If you would rather that did not happen, do not use the companion and keep journal sharing switched off.
  • Community posts: content you publish to the community can be seen by other members while it is posted. Removing a post removes it from the Service, but we cannot recall copies other people have already made.
  • Your private content stays private: your journal, your workbook and your check-ins are not published, and are not shown to a coach unless you have connected to one and switched that category on.
  • We do not sell it, and we do not use it to train AI models: we do not use Your Content to train or improve any AI model, ours or anyone else's, and we use our AI provider under terms that do not permit them to either.
  • Your responsibility: you are responsible for Your Content, and you confirm you have the right to post it and that it does not infringe anyone else's rights or breach section 7.
  • Feedback: if you send us ideas or suggestions for the Service, we may use them freely and without owing you anything. Do not send us anything you consider confidential.

Community guidelines, reporting and moderation

The community is optional, and it works only if it stays safe. When you post there, you are talking to people in recovery who may be having a much harder day than you are.

  • Speak from your own experience rather than telling other people what to do.
  • What is shared in the community stays in the community. Do not repeat it elsewhere.
  • No graphic descriptions of substance use, and nothing that reads as an advertisement for a substance or a supplier.
  • Support, do not diagnose. If someone is in danger, tell them to get real-world help.
  • Respect the alias. Do not try to work out who someone is, and do not out yourself or anyone else.

What you can do about another member

  • Report: every post and comment has a report action. A report comes to us to review, and we act on what we find.
  • Tell us: if another member is making the community unsafe for you, write to overcome@optimusx.co.za as well as reporting the content. We can and do remove members. We are building a self-serve block control, and these Terms will be updated when it is live.
  • Leave: you can switch community participation off entirely, at any time, and delete your posts.

We may review, moderate, refuse, edit or remove any content, and suspend or close an account, where we reasonably believe these Terms or these guidelines have been breached, or to protect a member. We are not obliged to monitor content, and we do not pre-screen it, so we cannot promise you will not encounter something you should not have. Where we remove your content or restrict your account we will tell you why, unless telling you would be unlawful or would put someone at risk, and you may challenge the decision by writing to overcome@optimusx.co.za.

Coaches

Overcome lets you connect to a coach. Connecting is entirely your choice, and you can disconnect at any time.

A coach on Overcome is a recovery coach. They are not, by virtue of using this app, a registered health practitioner, and coaching through Overcome is not medical, psychiatric or psychological treatment. Section 2 applies to everything a coach does in the Service.

  • The relationship is between you and the coach: a coach uses Overcome as a tool. Unless we tell you otherwise in writing, a coach is not our employee or agent, and we are not a party to whatever arrangement you have with them.
  • We do not supervise coaching: we do not verify a coach's qualifications, licensing or insurance, we do not review what they tell you, and we are not responsible for it. Satisfy yourself that a coach is suitably qualified before you rely on them.
  • What a coach can see: only the categories you have agreed to share, and only for you as their client. You control this in Settings, and you can change or withdraw it whenever you like.
  • Your journal stays yours: your private journal is not shared with a coach unless you explicitly switch journal sharing on. While it is on, short excerpts may also appear in the AI-generated briefing prepared for that coach, as described in the Privacy Policy.
  • Who pays: if you are a client, your coach decides whether your line is sponsored by them or paid by you — see section 6. It is not a choice you make, and it does not change what the app does for you either way.
  • Ending it: disconnecting stops future access. A coach may archive a former client rather than disconnect them, which keeps that case file available to the coach for 12 months by default. Archiving never survives your own deletion: if you delete your account, the archived file goes with it.

If you use Overcome as a coach, you additionally agree: to act within your professional competence and any applicable licensing, ethical and confidentiality obligations; not to present the Service, its briefings or its scores as a clinical assessment or a treatment plan to a client; to access only the clients and categories you have been given; to keep everything you see confidential; and to accept that a client’s decision to delete their account removes their records regardless of any retention you would prefer.

Our intellectual property

The Service, and everything in it other than Your Content — the software, the design, the Overcome name and logo, the lessons, the coping techniques, the workbook prompts, the affirmations and the motivational content — belongs to OptimusX or to our licensors, and is protected by copyright, trade mark and other laws.

We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for your own personal, non-commercial recovery while these Terms are in force — or, for a coach account, to support your own clients through it. Everything not expressly granted is reserved. You may keep a personal copy of material for your own use; you may not republish, redistribute or build a product on it.

Third-party services

The Service relies on third parties, and may link to third-party websites, helplines or resources. Those services have their own terms and privacy policies, we do not control them, and we are not responsible for their content, availability or practices. A link is not an endorsement. The ones that receive your information are:

  • Google (Gemini), our AI provider, which receives journal text, companion messages and briefing content as described in the Privacy Policy;
  • Apple and Google speech services, which handle your voice if you use dictation;
  • Paystack, our payment provider, which takes card details on its own page;
  • Neon and Render, which host the database and the application; and
  • our email and push delivery providers.

App store terms

  • These Terms are between you and OptimusX only, not with Apple or Google, and we alone are responsible for the Service.
  • Apple and Google have no obligation to provide support or maintenance for the Service.
  • Where the Service fails to conform to any applicable warranty and you obtained it from the App Store, Apple's only obligation is to refund the purchase price, if any; Apple has no other warranty obligation.
  • Apple and Google are not responsible for addressing any claim you or a third party makes about the Service, including product liability, regulatory non-compliance, or intellectual property infringement claims.
  • Apple and Google, and their subsidiaries, are third-party beneficiaries of these Terms and may enforce them against you.
  • You confirm you are not located in a country subject to a US Government embargo or designated as terrorist-supporting, and that you are not on any US Government prohibited or restricted party list.

Disclaimers

To the fullest extent the law allows, the Service is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement.

  • We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that any content in it is accurate or complete.
  • We do not warrant any outcome. Using Overcome does not guarantee that you will achieve or maintain recovery, avoid relapse, or improve in any measurable way. Recovery is yours, and it depends on far more than an app.
  • We do not warrant that anything the AI companion writes is accurate, appropriate to your situation, or safe to act on.
  • We are not responsible for the conduct of any coach or any other user, whether in the app or outside it.
  • You use the Service at your own discretion and risk, and you are responsible for any decision you make on the strength of it.

Some jurisdictions do not allow the exclusion of implied warranties, so some of this may not apply to you. Nothing in these Terms excludes or limits any right you have under the South African Consumer Protection Act 68 of 2008 or other consumer law that cannot lawfully be excluded.

Limitation of liability

To the fullest extent the law allows, and subject to the paragraph at the end of this section:

  • neither OptimusX nor its directors, employees, contractors or suppliers is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, goodwill, data or anticipated savings, arising out of or connected with your use of or inability to use the Service, however caused and on any theory of liability;
  • we are not liable for any loss arising from your reliance on the Service instead of professional care, from any relapse or health outcome, from the conduct or advice of a coach or another user, or from any content the Service generated or displayed; and
  • our total aggregate liability for all claims connected with the Service in any 12-month period is limited to the greater of the amount you actually paid us for the Service in the 12 months before the event giving rise to the claim, or ZAR 1,000.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited. Some jurisdictions do not allow certain limitations, in which case the limitations above apply to the maximum extent permitted there. These limits apply even if a limited remedy fails of its essential purpose.

Indemnity

You agree to indemnify and hold harmless OptimusX and its directors, employees and contractors from any claim, demand, loss, liability or expense, including reasonable legal fees, arising out of or connected with Your Content, your use of the Service, your breach of these Terms or of any law, or your infringement of anyone else's rights. We will tell you promptly of any such claim, and you may not settle it in a way that imposes an obligation on us without our written agreement. This does not apply to the extent the claim arises from our own breach or negligence.

Suspension and termination

  • By you: you may stop using the Service at any time and delete your account from Settings.
  • By us: we may suspend or terminate your access, with notice where practicable, if you breach these Terms, if we must do so by law, if your account is being used in a way that risks harm to another user or to the Service, or if we discontinue the Service.
  • Serious breach: where the breach is serious — abuse of another member, an attempt to compromise the system, or conduct that puts someone at risk — we may act immediately and without notice.
  • What happens to your data: on termination your licence to use the Service ends. Your data is handled as set out in the Privacy Policy, and you may ask us for a copy of it before deletion completes. If we terminate your account for a reason other than your breach, we will refund the unused portion of any subscription you bought from us.
  • What survives: sections on your content licence, intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution survive termination.

If we discontinue Overcome entirely, we will give you at least 60 days' notice, provide a copy of your data on request throughout that period, and refund the unused portion of any subscription bought from us, as also described in our Privacy Policy.

Governing law

These Terms and any dispute arising out of them or the Service are governed by the laws of the Republic of South Africa, without regard to conflict of law rules. Subject to the dispute resolution section below, you and we submit to the non-exclusive jurisdiction of the South African courts.

If you are a consumer resident in the European Union, the United Kingdom or another jurisdiction whose law gives you the benefit of mandatory local consumer protections, nothing here deprives you of those protections or of the right to bring proceedings in the courts of the country where you live.

Resolving a dispute

  • Talk to us first: most problems are quickest to fix directly. Write to overcome@optimusx.co.za with what happened and what you would like us to do, and we will respond within 30 days and try in good faith to resolve it.
  • Mediation: if that does not settle it, you and we may agree to refer the dispute to mediation in Johannesburg, South Africa, under the rules of the Arbitration Foundation of Southern Africa, each bearing our own costs and sharing the mediator's fee.
  • Arbitration: if mediation does not resolve the dispute within 30 days, either of us may refer it to confidential arbitration in Johannesburg under AFSA's expedited rules, before one arbitrator, whose award is final and binding. This does not stop either of us applying to a court for urgent interim relief.
  • Consumers keep their options: if you are a consumer, nothing in this section requires you to arbitrate instead of using a small claims court, a consumer tribunal or a statutory ombud available where you live, or, in South Africa, the National Consumer Commission.
  • No class actions: to the extent the law allows, disputes are resolved individually and not as part of a class or representative proceeding.

Changes to these terms

We may update these Terms as the Service or the law changes. When we do, we will change the "last updated" date above. If a change is material — for example to fees, to the limitation of liability, or to the dispute resolution section — we will give you reasonable notice in the app or by email before it takes effect, and where the law requires it we will ask you to accept it.

Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and delete your account; where the change materially disadvantages you and you cancel because of it, we will refund the unused portion of any subscription bought from us.

General

  • Entire agreement: these Terms and the Privacy Policy are the whole agreement between you and us about the Service, and replace anything said before.
  • Severability: if any part of these Terms is held unenforceable, it is limited or removed to the minimum extent necessary and the rest continues in force.
  • No waiver: if we do not enforce a right, we have not given it up.
  • Assignment: you may not transfer your rights under these Terms without our written consent. We may transfer ours to an affiliate or to an acquirer of our business, on notice to you.
  • Force majeure: neither of us is liable for a failure caused by something genuinely outside our reasonable control.
  • No third-party rights: except for the app store beneficiaries named in section 12, nobody other than you and us has rights under these Terms.
  • Language: these Terms are written in English. A translation is provided for convenience only, and the English version governs.
